Acceptance of Terms

By downloading, installing, or using VertexMD, you confirm that you are at least 18 years old or have the legal consent of a parent or guardian. Parents/guardians may use VertexMD to manage health records for family members, including minors.

Description of Services

VertexMD is a personal health record (PHR) application that allows you to:

• Store and organize health records on your device
• Scan and digitize medical documents
• Ask questions about your health data using on-device AI
• Sync data securely across your devices
• Connect to healthcare providers via FHIR/SMART on FHIR
• Manage family health profiles
• Export and share health records

VertexMD is NOT a medical device or diagnostic tool. Our Services are designed for personal health record management and organization only.

• The app does not provide medical advice, diagnosis, or treatment
• AI features provide informational summaries, not medical recommendations
• Always consult qualified healthcare providers for medical decisions
• In case of emergency, contact emergency services immediately

Your Responsibilities

You agree to:

• Provide accurate information when creating an account
• Maintain the security of your account credentials and device
• Use the Services only for lawful purposes
• Not attempt to reverse engineer or modify the application
• Not use the Services to harm or defraud others
• Ensure you have proper authorization to manage health records for family members

Your Data and Privacy

Your health data belongs to you. See our Privacy Policy for details on how we protect your information. Key points:

• Health data is stored on your device, not our servers
• Optional cloud sync uses end-to-end encryption
• You can export or delete your data at any time
• We do not sell your personal or health information

Subscription and Payments

VertexMD offers free and paid subscription tiers:

• Free: Basic health record storage and management
• Pro: Advanced features including cloud backup and unlimited OCR
• Family: Multiple profiles and shared family access

Subscription payments are processed through the App Store (iOS) or Google Play (Android). Refunds are subject to the respective platform’s policies.

Intellectual Property

All content, features, and functionality of VertexMD are owned by VertexMD and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our software
• Use our trademarks without permission
• Create derivative works based on our Services

Healthcare Provider Integrations

When connecting to healthcare providers:

• You authorize the connection and data access
• Provider data is subject to the provider’s terms and privacy policies
• We are not responsible for the accuracy of provider data
• Connection availability depends on provider participation in FHIR networks

Limitation of Liability

To the fullest extent permitted by law:

• VertexMD is provided “as is” without warranties
• We are not liable for any medical decisions made based on app information
• We are not liable for data loss if you do not maintain backups
• Our total liability shall not exceed the amount paid by you for the Services

Indemnification

You agree to indemnify and hold harmless VertexMD from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

Termination

We may suspend or terminate your access to the Services if:

• You violate these Terms
• We discontinue the Services (with reasonable notice)
• Required by law

Upon termination, you retain the ability to export your data.

Changes to Terms

We reserve the right to update these Terms. We will notify you of material changes through the app or via email. Continued use after changes constitutes acceptance.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved in the courts of Delaware.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
